On Uback, investors declare which startups they want to back before any deal exists. If you hold shares in one of them, part of the demand may already be waiting. Tell us, confidentially, that you would consider selling.
Who it is for
Founders and co-founders, early employees holding shares, business angels, and funds nearing the end of their life: anyone holding shares in a non-listed startup who would sell all or part of them.
How it works
- Declare, confidentially. The company, the share class, roughly how much you would sell, and when. A target price is optional. Declaring is free and commits you to nothing.
- See the demand. Uback tells you how many Backers have already declared an Interest or an Intention on that company, or on its sector. You know where you stand before you reveal anything.
- A local partner takes over, with your consent. Your declaration is passed to Uback's licensed local partner in the company's country, only if you agree. The partner checks what your shareholders' agreement allows, and works on the sale under its own mandate, privately.
- You decide. Nothing is sold without your agreement, at a price and terms you accept.
Confidential by design
Your declaration is never published: not your name, not the company, not the amount. It is seen only by Uback and, with your consent, by the local partner. Uback never contacts the company or its other shareholders on its own.
Before you declare
Most shareholders' agreements restrict sales: other shareholders may have a right of first refusal, the board may have to approve the buyer, and some shares may still be under lock-up or vesting. Read Shareholders' agreements: what to check before selling. Declaring on Uback breaches none of these clauses: it is a confidential, non-binding declaration, not an offer.
What Uback does not do
Uback does not buy shares, values nothing for you, negotiates nothing and holds no mandate. Any sale is handled by the licensed local partner, under its own responsibility and its own fees, agreed with you.
